  • Service: any service ALRA offers, including lead reactivation, cold outreach, AI appointment setting, CRM and automation setup, AI chatbots and custom solutions.
  • AI system: software, integrations and artificial intelligence models that ALRA deploys in the client's systems to deliver the Service.

Scope

The exact scope, parameters and specifics of a service are set out in the individual contract or quotation between ALRA and the client.

04Pricing, payment terms and billing

4.1. Free setup plus a share of revenue

ALRA offers its main service (Lead reactivation) with no setup cost. This means:

  • The client does not pay for setup, configuration, the AI system or campaign management.
  • The client covers communication costs only (e.g. SMS messages through an external SMS gateway, typically €0.01–0.03 per SMS).
  • Once a deal resulting from the campaign is closed, the client pays the agreed percentage of the revenue generated, as set out in the individual contract (the "Commission").
  • Commission is charged only for deals that are a direct result of an ALRA campaign, and only after the client has received payment from their end customer.

4.2. Other services

Cold outreach, CRM setup, AI chatbots and custom solutions are billed at the agreed rate or fixed price set out in the individual quotation or contract.

4.3. Invoices and payment terms

ALRA issues an invoice when Commission is calculated, or as agreed in the contract for other services. Payment is due within 14 days of the invoice date unless the contract provides otherwise.

On late payment ALRA charges statutory default interest from the due date until payment.

4.4. Communication costs

SMS, email and other communication costs are borne by the client and paid directly to the external communications provider (SMS gateway, email provider). ALRA is not responsible for any disruption, outage or price change at that provider.

05Client obligations

For the Services to be delivered successfully, the client undertakes to:

  • give ALRA access to the CRM system, lead database or other necessary data sources,
  • ensure that providing their contacts' personal data to ALRA complies with the GDPR, ZVOP-2 and other applicable law (including an appropriate legal basis for processing, such as prior consent, legitimate interest or a prior business relationship),
  • ensure that contacts are not on a do-not-contact or opt-out list, and keep records of such declarations,
  • sign a Data Processing Agreement (DPA) under Article 28 GDPR at ALRA's request,
  • respond in good time to prompts from the AI system (e.g. confirming meetings, adding qualification information),
  • pay the contractually agreed amounts within the agreed periods,
  • comply with marketing and electronic communications law in the client's jurisdiction.

06Data ownership and personal data

All data the client provides to ALRA remains the client's property. ALRA processes it solely to deliver the Service.

When processing personal data of third parties (the client's contacts), ALRA acts as processor and the client as controller within the meaning of the GDPR. The details are governed by a separate Data Processing Agreement (DPA).

When the contractual relationship ends, ALRA returns or deletes the client's contact data, as the client requires, unless the law requires longer retention.

More on data protection is set out in the Privacy policy at alra.si/en/privacy.

07Intellectual property

All software, AI models, templates, methodologies, documentation, tools and materials that ALRA develops or uses to deliver the Service remain ALRA's property, except:

  • content the client provides (texts, logos, contact databases), which remains the client's property,
  • final outputs (e.g. conversation records, booked meetings), which become the client's property.

No reproduction

The client may not reproduce, sell or copy ALRA's AI system or its components without ALRA's prior written consent.

08Third-party services

ALRA uses third-party platforms to deliver the Services (e.g. AI infrastructure providers, CRM platforms, SMS gateways, email providers). ALRA is not liable for:

  • outages, disruptions or errors of these platforms,
  • changes to their prices, terms of use or technical capabilities,
  • indirect damage resulting from such events.

09Limitation of liability

ALRA strives to provide its services with the utmost care and to a high standard, but:

  • does not guarantee specific results (e.g. an exact number of booked meetings, response rate or revenue generated) unless they are set out in the contract,
  • is not liable for indirect damage, lost profit, lost business opportunity or damage caused by the operation of external platforms,
  • in any case, ALRA's total liability is limited to the amounts the client actually paid ALRA in the 12 months before the event giving rise to the claim.

Exception

These limitations do not apply to proven intentional damage or gross negligence.

10Term and termination

Contracts are concluded for an indefinite or a fixed term, as agreed in the individual contract. Either party may terminate the contract:

  • with 30 days' notice without giving a reason, unless the contract provides otherwise,
  • with immediate effect for a material breach by the other party that is not remedied within 14 days of written notice,
  • with immediate effect in case of the other party's insolvency, bankruptcy or liquidation.

On termination

After termination the client pays all Commission and costs incurred up to the termination date.

11Confidentiality

All business, financial, technical and personal information the parties exchange during the cooperation is confidential. The parties undertake to:

  • not disclose confidential information to third parties without the other party's written consent,
  • use confidential information solely to perform the contract,
  • protect confidential information with appropriate technical and organisational measures,
  • honour this confidentiality obligation for 5 years after the contract ends.

12Force majeure

Neither party is liable for failure or delay in performing its obligations caused by force majeure (e.g. natural disasters, war, pandemics, general infrastructure outages, sanctions, measures of public authorities). In such a case the deadline for performance is extended for the duration of the force majeure.

13Changes to these Terms

ALRA reserves the right to change these Terms. It will notify clients of material changes at least 30 days before they take effect:

  • by publishing them on alra.si,
  • by email, where the client has provided an email address.

Right to terminate

If the client does not agree with the changes, they may terminate the contractual relationship without notice within 30 days of being notified.

14Governing law and disputes

These Terms and all contractual relationships based on them are governed by the law of the Republic of Slovenia, excluding its conflict-of-law rules.

The parties will first try to resolve any dispute amicably. If that is not possible, the court with subject-matter jurisdiction in Ljubljana has jurisdiction.

Directive (EU) 2013/11 on alternative dispute resolution for consumer disputes and Regulation (EU) 524/2013 on online dispute resolution for consumer disputes apply where the relationship is a consumer relationship.
